Terms and Conditions

1. Acceptance of Terms

By accessing or using the Bot Forge Technologies website, products, and services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Definitions

• "Services" means chatbot development, consultation, software-as-a-service offerings, and related support.
• "Client" or "You" means the individual or entity using our services.
• "Agreement" refers to these Terms along with any signed Statement of Work.

3. Services and Subscriptions

3.1 Service Description

We provide AI-powered chatbot solutions, including design, development, deployment, and analytics. Specific deliverables are detailed in the applicable Statement of Work (SOW).

3.2 Subscription Plans

Fees vary based on the selected plan (Starter, Growth, Enterprise). All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice.

3.3 Free Trial & Consultation

We may offer free consultations or trial periods. Either party may terminate the trial at any time. Upon conversion to a paid plan, the standard terms apply.

4. Client Responsibilities

• Provide accurate and complete information required for service delivery
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Obtain necessary consents for any data you provide to our chatbots

5. Intellectual Property Rights

5.1 Our IP

Bot Forge Technologies retains all rights, title, and interest in the platform, underlying technology, templates, algorithms, and pre-built components.

5.2 Client IP

You retain ownership of any content, data, or intellectual property you provide or input into the chatbots. You grant us a license to use such content solely to provide the services.

6. Payment Terms

• Invoices are due within 14 days of receipt.
• Late payments may incur interest of 1.5% per month and suspension of services.
• All fees are exclusive of taxes, which are your responsibility.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of the agreement. This obligation survives termination.

8. Limitation of Liability

To the maximum extent permitted by law, Bot Forge Technologies shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid by you during the three months preceding the claim.

9. Disclaimer of Warranties

Services are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the service will be uninterrupted or error-free.

10. Termination

Either party may terminate the agreement for material breach with 30 days' written notice. Upon termination, you must pay all outstanding fees. Sections 5, 7, 8, 9, and 12 survive termination.

11. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region without regard to its conflict of laws principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of services after changes constitutes acceptance.
